Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Friedum™ platform, including our website, mobile applications, and all associated services (collectively, the "Platform"). They are entered into by and between you and Friedum™ INC ("Friedum™," "we," "us," or "our").

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the Platform. Your continued use of Friedum™ after the effective date of any update constitutes your acceptance of the revised Terms. If you do not agree to an update, you must stop using the Platform.

These Terms are supplemented by our Privacy Policy, Copyright Policy, Fair Housing Policy, and Cookie Policy, each of which is incorporated by reference.

Friedum™ is an online marketplace that enables property owners, landlords, and real estate professionals to list properties directly and connect with buyers, tenants, and other interested parties. We provide technology tools to facilitate those connections.

Friedum is NOT:

• A licensed real estate broker, agent, or salesperson in any jurisdiction
• A party to any purchase, sale, lease, or rental transaction conducted through the Platform
• A multiple listing service (MLS) or affiliated with any MLS
• A licensed attorney and nothing on this Platform constitutes legal advice
• A licensed financial advisor and nothing on this Platform constitutes financial or investment advice
• A mortgage lender, escrow agent, title company, or property manager

Any AI-generated content, price estimates, market analyses, or other information provided by Friedum™ is for general informational purposes only. We strongly encourage all parties to work with licensed real estate attorneys, agents, inspectors, and financial advisors before entering into any real estate transaction.

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use Friedum™. By creating an account, you represent and warrant that:

• You are at least 18 years old
• You have the legal authority to bind yourself (and, if applicable, your organization) to these Terms
• All information you provide during registration and throughout your use of the Platform is accurate, current, and complete
• Your use of the Platform does not violate any applicable law or regulation
• You are not a person barred from using the Platform under applicable law, including any sanctions lists maintained by the U.S. Office of Foreign Assets Control (OFAC)

We reserve the right to refuse service to anyone for any lawful reason.

To access most features of the Platform, you must create an account. You agree to:

• Provide accurate and complete information during registration
• Keep your account credentials (username and password) confidential and not share them with any third party
• Notify us immediately at legal@friedum.com if you suspect any unauthorized access to your account
• Accept responsibility for all activities that occur under your account
• Maintain only one personal account (duplicate accounts are prohibited)

Friedum™ is not liable for any loss or damage arising from your failure to maintain the security of your account credentials. We may suspend or terminate your account if we reasonably believe it has been compromised.

Friedum™ is firmly committed to fair housing. All users of the Platform are required to comply with the federal Fair Housing Act (42 U.S.C. § 3604), the Americans with Disabilities Act, and all applicable state and local fair housing laws.

By posting a listing on Friedum, you agree that you will NOT:

• Include any language in your listing or communications that expresses a preference for, or discrimination against, any person based on race, color, national origin, religion, sex, familial status, disability, or any other class protected under applicable federal, state, or local law
• Refuse to communicate with or respond to any person based on a protected characteristic
• Set different rental or sale terms, conditions, or privileges for different users based on any protected characteristic
• Indicate in any advertisement that any property is unavailable because of any protected characteristic
• Otherwise engage in any discriminatory housing practice as defined by applicable law

Friedum™ reserves the right to remove any listing or content that we determine, in our reasonable judgment, violates these fair housing obligations, without prior notice and without liability to you. Repeat violations will result in account termination. We may also report violations to the appropriate housing authorities.

If you believe a listing on Friedum violates fair housing laws, please report it to us via our Contact page. You may also file a complaint with the U.S. Department of Housing and Urban Development (HUD) at 1-800-669-9777.

Equal Housing Opportunity — Friedum™ supports the principles of equal housing opportunity. All real property advertised on this site is available on an equal opportunity basis.

You are solely responsible for the accuracy, completeness, and legality of any listing or other content you post on Friedum™. By posting a listing, you represent and warrant that:

• You are the owner of the listed property, or you have the legal authority to list it on behalf of the owner
• All information in your listing — including price, square footage, bedroom and bathroom count, property type, address, and amenities — is truthful, accurate, and not misleading
• Your listing complies with all applicable laws, including zoning and land use regulations, landlord-tenant law, and any HOA restrictions
• You hold all necessary licenses, permits, or authorizations required to sell or rent the property in the relevant jurisdiction
• You will update your listing promptly if material information changes (e.g., the property goes under contract or is sold)

Friedum™ reviews listings before they go live but does not independently verify the accuracy of listing information. Our review is not an endorsement of, or representation about, any listing. You remain solely responsible for your listing content.

"User Content" means any content you submit, post, upload, or transmit through the Platform, including listing descriptions, photos, videos, messages, forum posts, reviews, and any other materials.

Content Ownership. You retain all ownership rights in your User Content. You are not transferring ownership of your content to Friedum.

License Grant to Friedum. By submitting User Content to the Platform, you grant Friedum a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, host, store, reproduce, modify (for formatting and display purposes only), publicly display, publicly perform, and distribute your User Content solely for the purposes of operating, promoting, and improving the Platform and our services. This license continues for as long as your content remains on the Platform and for a reasonable period thereafter as required for technical and backup purposes.

Photo and Image Uploads — Copyright Responsibility. By uploading any photograph, image, or other visual media to the Platform, you represent and warrant that:

• You are the original creator of the image, OR you have obtained a valid license, permission, or release from the copyright owner authorizing you to upload and license the image to Friedum™ under these Terms
• The image does not infringe the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party
• If the image depicts any person, you have obtained all required releases or consents from that person
• You have the authority to grant the license described above

Content Standards. Your User Content must not:

• Infringe any copyright, trademark, patent, trade secret, or other intellectual property right
• Violate any privacy, publicity, or defamation law
• Be false, misleading, or deceptive
• Contain material that is obscene, harassing, or otherwise objectionable
• Violate our Fair Housing Policy or any applicable law

Friedum™ reserves the right, but has no obligation, to review, monitor, remove, or disable access to any User Content at any time and for any reason, including if we reasonably believe the content violates these Terms, our policies, or applicable law. We will not be liable to you for removing content that we determine, in our sole discretion, violates these standards.

You agree not to use the Platform to:

• Post false, fraudulent, or misleading listings or other content
• List a property you do not have the authority to sell or rent
• Impersonate any person or entity, or falsely claim any affiliation with a person or entity
• Harass, threaten, or intimidate any user
• Collect or harvest personal information about other users without their consent
• Send spam or unsolicited commercial messages through the Platform's messaging system
• Attempt to circumvent or disable any security features of the Platform
• Scrape, crawl, or otherwise automatically extract data from the Platform without our express written consent
• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
• Interfere with or disrupt the integrity or performance of the Platform or its infrastructure
• Introduce any virus, malware, or other harmful code
• Engage in any conduct designed to manipulate search rankings or listing visibility
• Use AI tools or automated systems to interact with the Platform in ways that circumvent our rate limits or terms

Friedum is a technology platform that facilitates connections between buyers, sellers, renters, and landlords. Friedum is not a party to any transaction that occurs through or in connection with the Platform.

When you engage in a real estate transaction through connections made on Friedum™:

• You are dealing directly with the other party, not with Friedum™
• Friedum™ makes no representations or warranties about the condition, value, legality, or suitability of any property listed on the Platform
• Friedum™ does not participate in negotiations, prepare or review contracts, or hold funds in escrow
• Friedum™ does not guarantee that any transaction will be completed

We strongly recommend that all parties to a real estate transaction retain a licensed real estate attorney to review and prepare any purchase agreement, lease, or other legal document. Closing documents in Florida and most other states carry significant legal and financial implications, and professional advice is essential.

The Friedum™ platform includes a directory of real estate professionals, including but not limited to attorneys, inspectors, appraisers, and photographers. These professionals are independent third parties, not employees or agents of Friedum™.

While we review professionals for certain criteria (such as license verification) before admitting them to the directory, Friedum™ does not:

• Independently verify all credentials, background information, or qualifications claimed by listed professionals
• Guarantee the quality, accuracy, timeliness, or outcome of any professional's services
• Supervise, control, or endorse any professional listed on the Platform

Your decision to engage any professional listed on Friedum™ is made at your own risk and is entirely at your discretion. We encourage you to independently verify credentials and conduct your own due diligence before engaging any professional for services.

Friedum™ offers a variety of AI-powered tools including, without limitation, price estimation, market analysis, virtual staging, photo enhancement, offer coaching, lease translation, contract summarization, and an AI chat assistant.

By using any AI feature on Friedum™, you acknowledge and agree that you will not rely solely on AI-generated output for any significant legal, financial, or real estate decision.

The Friedum™ platform, including its design, code, software, features, text, graphics, logos, and all other content created by Friedum™ (collectively, "Friedum™ Content"), is the property of Friedum™ INC and is protected by copyright, trademark, and other intellectual property laws.

"Friedum™" and the Friedum™ logo are trademarks of Friedum™ INC (trademark registration pending). You may not use the Friedum™ name, logo, or trademarks without our prior written consent.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes in accordance with these Terms. You may not:

• Copy, modify, create derivative works of, or reverse engineer any Friedum™ Content or technology
• Remove or alter any proprietary rights notices on any Friedum™ Content
• Use any Friedum™ Content for any commercial purpose not expressly authorized by us
• Frame or link to the Platform in a way that suggests affiliation or endorsement by Friedum™

Friedum respects intellectual property rights. If you believe that content on the Platform infringes your copyright, please review our Copyright Policy for instructions on submitting a DMCA takedown notice to our designated copyright agent.

Friedum™ will promptly investigate valid DMCA notices and will remove or disable access to infringing content as required by law. We will also notify the user who posted the content of the notice and their right to submit a counter-notification.

Repeat Infringer Policy. In accordance with the Digital Millennium Copyright Act and applicable law, Friedum has adopted a policy of terminating, in appropriate circumstances and at our sole discretion, the accounts of users who are found to be repeat infringers of intellectual property rights. We may also remove or disable access to content that appears to infringe the rights of others, even in the absence of a formal DMCA notice.

The Platform may contain links to or integrations with third-party websites, services, tools, or resources (including, without limitation, neighborhood data providers, school information services, mapping services, and payment processors). Friedum™ does not control, and is not responsible for, the content, accuracy, privacy practices, or availability of any third-party service.

Your use of any third-party service is governed by that service's own terms and privacy policy. We encourage you to review those policies before using third-party services accessible through Friedum™.

Friedum™'s listing of or linking to a third-party service does not constitute an endorsement, sponsorship, or affiliation with that service.

THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND.

To the fullest extent permitted by applicable law, Friedum™ expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including:

• Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement
• Any warranty that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components
• Any warranty regarding the accuracy, completeness, reliability, or timeliness of any content on the Platform, including listing information, AI outputs, market data, and third-party data
• Any warranty that the Platform will meet your particular requirements

Some jurisdictions do not allow the exclusion of certain warranties. To the extent that applicable law does not permit the exclusion of a particular warranty, that warranty will apply to the extent required by law, and all other disclaimers will remain in full force and effect.

To the fullest extent permitted by applicable law:

Exclusion of Consequential Damages. In no event will Friedum, its affiliates, officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of (or inability to use) the Platform or these Terms — including, without limitation, lost profits, lost revenue, loss of data, loss of goodwill, or the cost of substitute services — even if Friedum has been advised of the possibility of such damages.

Cap on Direct Liability. In no event will Friedum's aggregate liability to you for any and all claims arising out of or in connection with the Platform or these Terms exceed the greater of: (a) the total amount of fees you paid to Friedum in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100.00).

Exceptions. The limitations above do not apply to: (a) damages arising from our gross negligence or willful misconduct; (b) any liability that cannot be limited or excluded under applicable law; or (c) your indemnification obligations under Section 17.

Some jurisdictions do not allow certain limitations on liability, including limitations on liability for personal injury or death, or limitations on implied warranties. If applicable law in your jurisdiction restricts any of these limitations, those limitations will apply only to the extent permitted by law.

You agree to defend, indemnify, and hold harmless Friedum™ INC and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your access to or use of the Platform
• Your User Content, including any claim that your content infringes the intellectual property, privacy, or other rights of any third party
• Your violation of these Terms
• Your violation of any applicable law or regulation, including fair housing laws
• Any transaction or dispute between you and another user or third party
• Any claim by a buyer, tenant, or other party arising from inaccurate or misleading listing information you provided

Friedum™ reserves the right to assume exclusive control and defense of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You will not settle any claim that imposes any obligation or liability on Friedum™ without our prior written consent.

Informal Resolution First. Before initiating any arbitration, you agree to contact Friedum at legal@friedum.com and provide written notice of your dispute. The parties will attempt to resolve the dispute informally for at least thirty (30) days from the date notice is received before initiating arbitration.

Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform (including the interpretation, validity, enforceability, or scope of these Terms) shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules, as modified by these Terms.

• Arbitration will be conducted by a single arbitrator
• The arbitration will take place in Miami-Dade County, Florida, unless the parties agree otherwise
• The Federal Arbitration Act (FAA) governs the arbitrability of all disputes
• The arbitrator may award the same individual remedies that a court could award
• The arbitrator's decision will be final and binding, and may be entered as a judgment in any court of competent jurisdiction

Class Action Waiver. YOU AND FRIEDUM EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING. Disputes must be brought on an individual basis only. If for any reason a dispute proceeds in court rather than in arbitration, you and Friedum each waive any right to a jury trial.

Small Claims Court Exception. Either party may bring an individual claim in a small claims court of competent jurisdiction without first engaging in arbitration, provided the claim qualifies for small claims court and remains an individual action.

Arbitration Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@friedum.com within thirty (30) days of the date you first create a Friedum account. Your notice must include your name, email address, and a statement that you opt out of binding arbitration. Opting out does not affect any other provision of these Terms.

By Friedum. We reserve the right to suspend, restrict, or permanently terminate your account and your access to the Platform at any time, with or without notice, for any reason, including if we believe in good faith that you have violated these Terms, our policies, or applicable law. We are not liable for any damages arising from such suspension or termination.

By You. You may delete your account at any time through your account settings. Upon deletion, your listings and profile will be removed from public view. We may retain certain information as required by law or for legitimate business purposes (such as fraud prevention and legal compliance), as described in our Privacy Policy.

Effect of Termination. Upon termination of your account, all licenses granted to you under these Terms will immediately terminate. Sections that by their nature should survive termination will survive, including Sections 7 (User Content License), 12 (Intellectual Property), 15–17 (Warranties, Liability, Indemnification), and 18 (Dispute Resolution).

These Terms and any dispute arising out of or related to them or the Platform are governed by the laws of the State of Florida, without regard to conflict of law principles. To the extent any dispute is not subject to arbitration under Section 18, the parties consent to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision unless we acknowledge it as such in writing. No waiver of any breach constitutes a waiver of any prior or subsequent breach.

Entire Agreement. These Terms, together with our Privacy Policy, Cookie Policy, Fair Housing Policy, and Copyright Policy, constitute the entire agreement between you and Friedum with respect to the Platform and supersede all prior agreements and understandings, whether written or oral, relating to the Platform.
